Partner Agreement

This Partner Agreement ("Agreement") governs your participation in the Deskio AI Partner (Referral) Program (the "Program"), operated by Zertix Studio ("Deskio AI", "we", "us", "our"). By creating a partner account at /partners/signup, you ("Partner", "you") agree to this Agreement. The Program is currently offered only to individuals and entities referring businesses located in Pakistan.

1. Definitions

• Partner — an individual or entity approved to participate in the Program under a verified partner account.
• Referral Link — the unique tracking link (/partners/r/<your referral code>) issued to a Partner, used to attribute a new business signup to that Partner.
• Referred Client — a business that signs up for Deskio AI after being attributed to a Partner's Referral Link.
• Commission — the percentage of a Referred Client's paid invoice a Partner earns under this Agreement.
• The Program — the Deskio AI Partner (Referral) Program as a whole, including the Partner dashboard, marketing kit, and payout process described below.

2. Program Overview & Referral Attribution

When a prospective client visits Deskio AI through your Referral Link, we set an attribution cookie that remembers your referral code for 90 days. If that visitor signs up for a Deskio AI account within that 90-day window, they become your Referred Client. A client can only ever be attributed to one Partner — the Partner whose Referral Link they most recently arrived through before signing up — so referral credit is never split or duplicated across multiple Partners. Signups that don't arrive through a Referral Link, or where the attribution window has already expired, are not attributed to any Partner.

Referral attribution depends on that cookie being present in the prospective client's browser. If a prospective client clears their cookies, or visits and signs up using incognito/private browsing, the attribution cookie may be lost before the signup happens. Deskio AI is not responsible for the resulting loss of referral attribution in that case.

3. Partner Eligibility & Account Requirements

To join the Program, you must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into this Agreement, whether signing up as an individual or on behalf of an entity you're authorized to bind. You may hold only one Partner account per person or entity. You agree to provide accurate, current information when creating and maintaining your account (including your name and, where provided, your payout details), and to keep your login credentials confidential. We may decline, suspend, or terminate a Partner account that fails to meet these requirements.

4. Commission Structure

You earn a recurring commission on every invoice your Referred Client actually pays to Deskio AI, for as long as they remain a paying customer. There is no cap on how many clients you can refer or how long commission continues to accrue on an active Referred Client's subscription.

The Program uses a tiered commission rate:

• Silver (default tier): you earn 20% of what each Referred Client pays Deskio AI on every billing cycle.
• Gold tier: once you have 5 or more Referred Clients on a paid plan (not a free trial) at the same time, your rate increases to 25% on qualifying invoices. Your tier is recalculated automatically based on your current number of active, paying Referred Clients — it is not a one-time milestone, and your rate can move between Silver and Gold as your active client count changes.

Commission is calculated only on amounts your Referred Client actually pays — not on trial periods, unpaid invoices, or amounts later refunded. If an invoice a commission was based on is refunded or charged back, the corresponding commission is marked Void and will not be paid. If that commission had already been paid out to you before the refund or chargeback occurred, see Section 6 for how the paid-out amount is handled.

5. Partner Manager Role & Override Commission

Deskio AI may, at its sole discretion, designate a Partner as a "Partner Manager" and assign other Partners to that manager's oversight. This is a distinct, optional role granted only by Deskio AI — a Partner cannot request, self-assign, or unlock Partner Manager status on their own. A Partner Manager earns an additional 5% override commission, calculated on the same invoice amount their managed Partners' own referral commission is calculated from. The override is a separate amount paid on top of a managed Partner's own commission, not a deduction from it — assigning a manager never reduces what a managed Partner earns on their own referrals.

6. Payment Terms

Commission accrues to your account balance as your Referred Clients' invoices are paid, visible on your Partner dashboard. Payouts are not issued automatically on a fixed schedule. Instead, when you'd like to be paid, you submit a payout request from your dashboard; this notifies Deskio AI, and your pending balance is then processed and sent manually. All payouts are made in Pakistani Rupees (PKR / Rs). You are responsible for providing accurate payout details (e.g. bank or mobile-wallet information) through your Partner account settings — Deskio AI is not responsible for a payout misdirected because of payout details you provided incorrectly or failed to update.

Commission is subject to a safety hold of 30 days from the date your Referred Client's invoice is paid before it becomes part of your available, payout-eligible balance. This hold gives a refund or chargeback on that invoice time to be processed before the associated commission is released for payout.

You can request a payout once your available balance reaches a minimum of PKR 10,000. Balances below this threshold remain on your dashboard and continue to accrue toward it, but can't be requested for payout until the threshold is met.

If an invoice is refunded or charged back after the associated commission has already been paid out to you (see Section 4), Deskio AI reserves the right to deduct that amount from your future earnings under the Program.

7. Partner Conduct & Prohibited Practices

As a condition of participating in the Program, you agree not to:

• Self-refer or self-deal — refer yourself, or a business you own or control, in order to earn commission on your own subscription.
• Send spam or unsolicited bulk outreach — including bulk unsolicited email, message-blasting, or any messaging that violates applicable anti-spam law.
• Make false or misleading claims about Deskio AI to prospective clients — including about pricing, features, or guarantees that Deskio AI does not actually offer.
• Use Deskio AI's name, logo, or trademarks without authorization — you may only use the materials provided in the official Partner marketing kit, and only as provided.
• Misrepresent your relationship with Deskio AI — you are an independent referrer, not an employee, agent, or official representative of Deskio AI, and may not describe yourself as one.

We may investigate suspected violations of this section, including using signals such as matching signup details between a Partner account and a Referred Client account. A match or suspected violation does not by itself prove wrongdoing, but Deskio AI may withhold, decline to pay, or void commission it reasonably determines resulted from a violation of this section, pending or after review.

To help detect violations of this section, Deskio AI uses automated tools — including IP address and device/signal matching — alongside manual review. While an investigation into a suspected violation is active, we reserve the right to place a hold on the affected Partner's payouts until the investigation concludes.

8. Term & Termination

This Agreement remains in effect for as long as you hold a Partner account. Either you or Deskio AI may terminate it at any time, for any reason, by closing the account (you) or by written notice (Deskio AI).

If your account is terminated in good standing (not for cause), commission already accrued, and commission that continues to accrue on Referred Clients you referred before termination, will still be paid for as long as those clients remain paying Deskio AI customers — termination of your Partner account does not, by itself, cut off commission already earned on pre-existing Referred Clients.

If your account is terminated for cause — including fraud, self-dealing, or a material breach of Section 7 — Deskio AI may withhold and decline to pay any pending commission, and may decline to pay any commission that would otherwise have continued to accrue after termination.

9. Confidentiality

Through your participation in the Program, you may become aware of non-public information — such as unpublished commission-rate changes, Program mechanics, or information about a Referred Client you learn in the course of referring them. You agree to keep this information confidential and not disclose it to third parties, except as reasonably necessary to carry out legitimate referral activity under this Agreement.

10. Independent Contractor Relationship

You participate in the Program as an independent contractor, not as an employee, partner (in the legal/business-entity sense), joint venturer, or agent of Deskio AI. Nothing in this Agreement creates an employment relationship, and you are responsible for your own taxes and legal obligations arising from Program participation. Your participation is non-exclusive — you're free to refer businesses to other, similar programs, unless you and Deskio AI separately agree otherwise in writing.

11. Intellectual Property

Deskio AI grants you a limited, non-exclusive, non-transferable, revocable license to use the marketing materials provided to you through the official Partner marketing kit, solely to promote the Program in accordance with Section 7. This Agreement does not grant you any other right, title, or interest in Deskio AI's name, logo, trademarks, software, or other intellectual property.

12. Limitation of Liability

The Program and your Partner account are provided "as is". Deskio AI is not liable for indirect, incidental, or consequential damages arising from your participation in the Program, including lost or delayed commission resulting from a Referred Client's own non-payment, cancellation, or account status changes.

13. Governing Law

This Agreement is governed by the laws of Pakistan, without regard to conflict-of-law rules. The courts of Pakistan have exclusive jurisdiction over disputes arising from this Agreement, subject to any mandatory rights that cannot lawfully be waived. Before filing a claim, the parties will try in good faith to resolve the dispute by written notice and discussion.

14. Changes to This Agreement

Deskio AI may update this Agreement, including commission rates, from time to time. We will post the updated Agreement here with a new "Last updated" date, giving reasonable notice before a change takes effect. Changes do not retroactively reduce commission you have already earned but not yet been paid — any rate change applies only to commission earned after the change's effective date. Continued participation in the Program after a change takes effect constitutes acceptance of the updated Agreement.
