Partner Terms of Service

These Partner Terms of Service ("Partner Terms") govern your conduct as a participant in the Deskio AI Partner (Referral) Program (the "Program"), operated by Zertix Studio ("Deskio AI", "we", "us", "our"). They apply alongside — and do not replace — the Partner Agreement, which is the governing contract for commission rates, payment mechanics, and termination, and the Partner Privacy Policy, which governs your data. Where these Partner Terms discuss a topic the Partner Agreement already defines numerically (commission rates, holds, thresholds), the Partner Agreement's figures control; this document focuses on conduct, compliance, and legal framework.

1. Relationship to the Partner Agreement

The Partner Agreement is the primary contract governing your participation in the Program — it defines commission tiers, the payout hold period, the minimum payout threshold, and the specific mechanics of termination and clawback. These Partner Terms supplement it with a fuller treatment of acceptable conduct, fraud prevention, legal jurisdiction, and standard legal safeguards. If a specific provision of the Partner Agreement directly conflicts with a general statement here, the Partner Agreement controls for that topic; for everything else, both documents apply together.

2. Eligibility & Account Registration

To participate in the Program you must create a Partner account, provide accurate registration information, and complete the identity-verification steps described in Section 3 before requesting a payout. You may hold only one Partner account per person or entity, and you are responsible for keeping your login credentials confidential and for all activity under your account. We may decline to open, or may suspend, an account that does not meet these requirements.

3. Age & Identity Verification Requirement

You must be at least 18 years old to participate in the Program. Before we release any payout to you, you must provide a valid government-issued identification document — a CNIC for Pakistani Partners, or a passport where applicable — matching the payout name and banking details on your account, along with clear images of the front and back of that document, as already required by the Partner dashboard's payout-details flow. Providing false age, identity, or document information is a serious breach of these Partner Terms and will result in immediate account termination, forfeiture of any pending or unpaid commission, and — where the falsification appears to involve fraud rather than an honest mistake — referral to the fraud-reporting process described in Section 12.

4. Acceptable Use of the Partner Program

You agree to use the Program, your referral link, and the Partner dashboard only for their intended purpose: genuinely referring real, prospective business customers to Deskio AI. You will not attempt to probe, disrupt, reverse-engineer, or gain unauthorized access to the Partner dashboard, the commission-calculation logic, or any other part of the platform, and you will not attempt to circumvent the identity-verification or fraud-detection mechanisms described throughout this document and the Partner Agreement.

5. Fraud Prevention & Anti-Spam

Deskio AI takes referral fraud extremely seriously, and this section is enforced strictly. The following are strictly prohibited and treated as fraud regardless of intent once discovered: submitting fake, simulated, or fabricated referrals that do not correspond to a real business genuinely interested in Deskio AI; self-referring, or referring a business you own, control, or have an undisclosed financial interest in, to generate commission on your own subscription; using bots, scripts, automated traffic generators, or any non-human method to inflate referral-link clicks or fabricate signups; making misleading marketing claims about Deskio AI's pricing, features, or guarantees that do not exist, in order to induce a signup; and advertising your referral link through unauthorized channels — including channels this policy or the Partner Agreement's marketing-kit terms do not permit, or platforms whose own advertising policies you're violating by promoting a referral program there.

We detect these violations using the real fraud-prevention infrastructure built into the Program: automated matching of phone number, IP address, and name signals between a Partner account and a newly Referred Client account (flagging likely self-dealing before commission is even paid), CNIC-based uniqueness that prevents the same identity document from backing more than one Partner account, and manual administrative review of every flagged commission through an internal review queue before it is cleared or voided. This is real, operating detection logic, not a generic deterrent claim.

The consequences for confirmed fraud are severe and immediate: instant termination of your Partner account, voiding of the fraudulent commission and any other commission reasonably connected to the same pattern of conduct, forfeiture of your pending balance, and a permanent bar from rejoining the Program. We also expressly reserve the right to pursue civil legal action to recover amounts wrongfully obtained, and — for serious cases, such as fabricated identity documents, organized fake-referral schemes, or payment fraud — to report the matter to the relevant law enforcement or financial-crime authority. For Pakistan-based conduct, that means the Federal Investigation Agency's Cyber Crime Wing (NR3C) and/or the applicable financial-fraud reporting channel; where a Partner or an incident touches another jurisdiction, we reserve the right to cooperate with the appropriate local law enforcement or regulatory authority there instead, rather than defaulting to a Pakistani or any single country's authority regardless of where the conduct actually occurred.

6. Prohibited Marketing Practices

Beyond the fraud prohibitions in Section 5, you may not misrepresent your relationship with Deskio AI (you are an independent referrer, not an employee, agent, or official spokesperson), use our name, logo, or trademarks outside the official marketing kit, or promise a prospective client pricing, features, refunds, or service levels that Deskio AI does not actually offer. If you're unsure whether a specific marketing claim is accurate, use only the materials and language provided in the Partner Marketing Kit rather than improvising claims about the product.

7. Client & Company Protection

You must not misrepresent Deskio AI's services to a prospective client, make guarantees the company does not offer (such as promised results, response times, or contractual terms outside the standard plans), or otherwise create an expectation for a prospective client that Deskio AI has not actually agreed to. If a prospective client shares information with you during outreach — business details, contact information, or anything else — you must handle it with the same care you would want for your own information, and you may not disclose, sell, or misuse it. Compromising a prospective client's trust or privacy to close a referral undermines the Program for every Partner and will be treated as a serious violation of these Partner Terms.

8. Confidentiality of Client & Program Information

You agree to keep confidential any non-public information you learn through the Program — this includes information about prospective or Referred Clients you encounter during outreach, and non-public Program details such as unpublished rate changes or internal fraud-review outcomes. You may only use such information for the legitimate purpose it was shared for, and only for as long as your participation in the Program reasonably requires it.

9. Commission, Payment & Payout Terms

Commission rates, the payout-eligibility hold period, and the minimum payout threshold are defined in the Partner Agreement, which is the governing document for those figures — see the Partner Agreement for current commission rates and payout terms. In general terms: payouts are sent by bank transfer to the IBAN/account details you provide and confirm through your Partner dashboard, each fulfilled payout is recorded against a transaction reference ("TRX ID") in our internal payout ledger for audit purposes, and you are responsible for the accuracy of the payout details you submit.

10. Fraud Investigation Holds & Clawback

Where we have a reasonable basis to investigate a suspected violation of Section 5 or Section 6, we may place a hold on the affected commission or on your entire payout balance until the investigation concludes — this is separate from, and can run alongside, the standard payout hold described in the Partner Agreement. If a Referred Client's invoice is later refunded or charged back, the associated commission is voided, and if it had already been paid out, we reserve the right to deduct that amount from your future earnings, consistent with the Partner Agreement's clawback provisions.

11. Account Suspension & Termination for Cause

We may suspend or terminate your Partner account immediately, without prior notice, for confirmed fraud, self-dealing, spam, false marketing claims, unauthorized use of our brand, breach of confidentiality, or any other material breach of these Partner Terms or the Partner Agreement. Where termination is for cause, pending commission may be withheld and declined as described in the Partner Agreement. Termination not for cause follows the Partner Agreement's standard termination terms.

12. Civil & Criminal Enforcement

In addition to account-level consequences, Deskio AI reserves the right to pursue any available civil remedy — including recovery of wrongfully obtained commission, damages, and legal costs — against a Partner who commits fraud against the Program. For conduct that may constitute a crime under applicable law (such as identity-document fraud, financial fraud, or unauthorized computer access), we reserve the right to report the matter to, and cooperate with, the relevant law enforcement authority, including Pakistan's Federal Investigation Agency Cyber Crime Wing for Pakistan-based conduct, or the appropriate authority in another jurisdiction where the conduct or the Partner is actually located.

13. Intellectual Property & Marketing Kit

Deskio AI grants you a limited, non-exclusive, revocable license to use the assets in the official Partner Marketing Kit solely to promote the Program in a manner consistent with these Partner Terms and the Partner Agreement. You acquire no other right to our name, logo, trademarks, software, or other intellectual property, and that license ends automatically if your Partner account is terminated.

14. Independent Contractor Status

You participate in the Program as an independent contractor, not as an employee, partner in the legal business-entity sense, joint venturer, or agent of Deskio AI. You are responsible for your own tax obligations arising from commission you earn, and nothing here creates an employment or agency relationship between you and Deskio AI.

15. Disclaimers & Limitation of Liability

The Program and Partner dashboard are provided "as is" and "as available." We do not guarantee any minimum number of referrals, conversions, or commission, and referral outcomes depend on factors outside our control, including a prospective client's own decision to sign up and remain a paying customer. To the maximum extent permitted by law, Deskio AI is not liable for indirect, incidental, or consequential damages arising from your participation in the Program, including lost or delayed commission resulting from a Referred Client's non-payment, cancellation, or the outcome of a good-faith fraud investigation under Section 10.

16. Indemnification

You agree to indemnify and hold Deskio AI harmless from claims, damages, and reasonable legal costs arising from your breach of these Partner Terms or the Partner Agreement, your violation of applicable law in how you market or refer, or your misrepresentation of Deskio AI's services to a prospective client.

17. Legal Jurisdiction & Governing Law

The Program is presently offered only to Partners referring businesses located in Pakistan, and these Partner Terms are governed by the laws of Pakistan, without regard to conflict-of-law rules. The courts of Pakistan have exclusive jurisdiction over disputes arising from these Partner Terms, subject to any mandatory rights that cannot lawfully be waived, and subject to the good-faith resolution step described in Section 19.

18. International Partners & Prospective Clients

While the Program is Pakistan-only for Partners, your referral outreach may occasionally reach a prospective client, or be viewed from, outside Pakistan. Where that happens, you are expected to act consistent with general international e-commerce, affiliate-marketing, and consumer-protection norms in how you represent Deskio AI — honest claims, no deceptive practices, respecting a recipient's request not to be contacted again — without Deskio AI claiming, and without you needing, formal compliance certification under any specific foreign country's affiliate-marketing or consumer-protection statute, which Zertix Studio does not hold.

19. Dispute Resolution

Before filing a claim relating to these Partner Terms, you and Deskio AI agree to first attempt to resolve the dispute in good faith through written notice and direct discussion via /contact. If that does not resolve the dispute within a reasonable time, either party may pursue the matter in the courts described in Section 17.

20. Force Majeure

Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, internet or infrastructure outages, government action, or failures of third-party payment or banking rails used to process payouts.

21. Assignment

You may not assign, transfer, or sublicense your Partner account or your rights under these Partner Terms without our prior written consent; any attempted assignment in violation of this section is void. Deskio AI may assign these Partner Terms in connection with a merger, acquisition, or sale of substantially all of its relevant assets.

22. Severability, Entire Agreement & No Waiver

If any provision of these Partner Terms is found unenforceable, the remaining provisions remain in full effect. These Partner Terms, together with the Partner Agreement and the Partner Privacy Policy, constitute the entire agreement between you and Deskio AI regarding the Program, superseding any prior understanding on the same subject. Our failure to enforce a provision on one occasion is not a waiver of our right to enforce it later.

23. Notices & Amendment Process

We may give you legal notices under these Partner Terms by posting an update here with a new "Last updated" date, by email to your account's registered address, or via a notice inside your Partner dashboard. We may amend these Partner Terms from time to time; material changes will be given reasonable notice before taking effect, and continued participation in the Program after a change takes effect constitutes your acceptance of it. You may send us notices via /contact.

24. Language

These Partner Terms are authored and published in English. If any translated version is ever made available, the English-language version controls in the event of any conflict or ambiguity.
